TISE Private Markets is an innovative online platform that provides private companies and funds with a way for their shareholders to buy and sell shares for FREE.
Launched in 2023 as the first of its kind, TISE Private Markets stands out from the crowd because unlike our competitors it enables efficient share trading without the bureaucracy and costs associated with using brokers.

I’m a Private Company, how does this help?
Firstly, it enables your company to remain private and keeps you in control of your shareholder base, whilst also determining which new investors are allowed to join.
You no longer need to publicly list on a stock exchange in order for your shareholders to buy and sell their shares. This in itself can be up to 20x cheaper than a public listing.
TISE Private Markets helps to substantially reduce the administration burden of share trading/management.
The online system allows shareholders to login under their own account to place buy/sell orders, with the auction model then matching orders and settling trades, which includes the settlement of monies, the automated creation of stock transfer forms and automated updating of the share register post transactions. -
Are there any additional benefits?
On top of the seamless electronic settlement, TISE Private Markets helps promote share trading/liquidity events due to its easy access and transparent display of buy and sell orders. This can assist in obtaining a more stable share price for companies who at a pre-IPO stage can be subject to fluctuating and/or inaccurate share prices.
It also reduces the risk associated with the manual matching of orders and the
potential for the market administrators bias to influence market outcomes on execution.
Even more importantly there are no added charges or commissions for trading. The
company simply pays an annual fee meaning the shareholders are not subject to
hidden commissions upon settlement.
Investor communication tools are built in meaning you can centrally contact shareholders to notify them on such things like upcoming auctions, AGMs, corporate actions and many more.
There are no disclosure requirements imposed on a company using TISE Private Markets but there are tools to upload documents and share results, updates etc with shareholders/investors.
In addition, TISE Private Markets offers Pre-emption optionality for businesses wanting to prioritise existing shareholders over new investors during auctions. -
How do I know if my Company is a good fit?
Typically, a good fit for TISE Private Markets are private companies with 50+ shareholders or enough investor appetite to create an internal market.
Or, private companies with <50 shareholders but are looking to attract investors that can gain comfort from TPM being a future exit facilitator.
Also crowdfunded, private companies who typically go from >10 shareholders to 500+ overnight and need help with registry management and providing exit windows for shareholders.
Another perfect fit are publicly listed companies that are looking to delist, typically due to cost, control and effort (often regulatory) to maintain the public listing.

What about employee share schemes?
TISE Private Markets allows businesses to host secondary trading events which can support liquidity for all shareholders such as employees, founders, senior management and institutional investors.
It also enables businesses with a share scheme (or those planning to introduce one) to offer their employees an exit option, manage their register with ease and provide a settlement solution for the seamless transfer of shares and monies between buyers and sellers.
Employees can place orders to buy and sell shares, view their portfolio and manage their shareholding online. This platform gives employees with shares a potential option to pay for important life events at a price that they deem appropriate (rather than a pre-set company buy-back price).
Liquidity events can be scheduled per share class and businesses can invite hand-picked investors into their own private market to support further liquidity.

How do funds & tokenised assets fit in?
Funds
We can also assist with secondary trading windows for funds. This will reduce the need for long lock-up periods whilst providing an exit strategy for investors who don’t want to wait for the fund’s maturity.It also enhances capital formation by attracting new participants, enhances portfolio flexibility and can help to reduce discrepancies between NAV and market price.
TISE Private Markets allows investors to trade funds WITHOUT buyers/sellers paying any commissions/fees to trade. This could be revolutionary as change amounts of money tend to trade hands in such transactions and a single, all-inclusive, annual fee is the only charge for the use of TISE Private Markets.
Tokenised assets
Tokens are digital assets that can be actively traded on secondary markets. It allows the owners of such assets (and/or tokenisation firms) to create their own private market for the registry management and auction of tokens.This creates a natural price discovery mechanism for assets that aren’t frequently
valued, with asset values that update based on market demand and transactions.
Such price discovery mechanisms can help to attract new/more investors, helping to boost liquidity and market efficiency. -
Tell me more about the auction system
You are in charge of the auction process and decide when and if you wish to hold an auction.
Auctions can be based on a specified cycle, such as weekly, monthly or longer, or on an ad hoc basis.
The schedule can be set and amended at any time in accordance with your historical requirements, holder demand, and management wishes.
You may delay or cancel auctions if you choose to do so.
You can set upper and lower price boundaries on allowable orders based on previous trade price.
Only holders that you define in a whitelist are allowed to participate in the auction process. This whitelist of approved investors can be changed by you at any time and its content is entirely at you discretion.

Are there rules to the auction system?
Order book
You decide on which orders are permitted. This can be based on size of order, time
of placement, pre-emption status, or other criteria you choose.The order book is updated on a real-time basis and gives you a complete up to the
minute picture of holder interest.The rules by which the auction is run are entirely determined by you. This gives complete freedom on the auction process such as pricing and timing of trades and participation.
There is no predetermined rulebook that you must follow.

But what if I am not ready for trading?
TISE Private Markets can also be used modularly.
We can offer a registry only service at a lower cost to help companies clean up, centralise and digitalise their holder register.
This then gives you a complete picture of your holder positions and corporate structure (cap table) at any time.
We can also grant access to the communication tools so that shareholders can be contacted via one central application.
Companies can therefore become familiar with the platform before enabling share trading and settlement.
